License Agreement (EULA)

This License Agreement (“Agreement”) is a binding contract between you (“Licensee”) and Neu Holdings Inc. (d/b/a Tractionify) (“Tractionify,” “we,” “us”) governing your use of the Maison Shopify theme (the “Theme”).
By purchasing, downloading, or activating the Theme, you accept this Agreement. If you do not accept these terms, do not use the Theme and request a refund within the refund window described in our Refund Policy.
1. Grant of license
Subject to your continued compliance with this Agreement and payment of the purchase price, Tractionify grants you a non-exclusive, non-transferable, non-sublicensable, revocable license to:
- Install the Theme on one (1) Shopify store that you own or operate.
- Modify the Theme files for use on that single store.
- Receive updates to the Theme for the life of the product (defined in §6).
Your license is bound to the first *.myshopify.com domain on which you
activate the Theme. The Theme is considered “activated” when you enter your
license key in the theme settings and our license server accepts the
activation request.
2. Restrictions
You may not:
- Install or use the Theme on more than one Shopify store under a single license. Each store requires its own license.
- Re-sell, sub-license, rent, lease, lend, or otherwise distribute the Theme or any derivative work, in whole or in part.
- Publish the Theme’s source code, in whole or in part, in a public repository, package manager, marketplace, or any other distribution channel.
- Remove, alter, or obscure any copyright, trademark, license, or attribution notice contained within the Theme.
- Disable, bypass, modify, or circumvent the Theme’s license-activation mechanism.
- Use the Theme to build a competing theme or template product for re-distribution.
- Use the Theme on behalf of a client without purchasing a separate license per client store. Agencies and freelancers may install the Theme on a client’s store provided the client purchases the license and the license is bound to the client’s store. Agency-scale licensing is available — email us.
3. Ownership
The Theme — including all source code, design, copy, structure, and documentation — is the intellectual property of Tractionify. This Agreement grants a license, not a sale. All rights not expressly granted are reserved.
You retain ownership of any content (text, images, products) you add to your store. Tractionify makes no claim over your storefront content.
4. License activation and binding
The Theme phones home to our license server on first load in a browser session to verify your license is active and bound to your shop. The following data is transmitted:
- Your Shopify shop domain (
*.myshopify.com) - Your license key
No customer data, browsing behavior, or storefront content is transmitted. See our Privacy Policy for full details.
If you need to move your license to a different Shopify store, email support@tractionify.com with your license key and the old and new shop domains. We rebind licenses free of charge.
5. Revocation
Tractionify may revoke your license — and your storefront will display a revocation notice — under the following circumstances:
- You request and receive a refund.
- You initiate a chargeback or dispute with your payment provider against the purchase.
- You materially breach this Agreement, including the restrictions in §2.
- Fraudulent or unauthorized payment.
If we win a chargeback you initiated, your license will be automatically reinstated and the revocation notice will clear.
6. Updates
Updates to the Theme — bug fixes, security patches, and new features — are included with your license for the lifetime of the Maison product. Tractionify reserves the right to discontinue the Maison product at any time with reasonable notice; existing license holders will retain access to the latest version released before discontinuation.
We will notify license holders by email when new versions ship. You are responsible for installing updates on your store; we do not push updates automatically.
7. Support
Email support is included with your license. We respond within one (1) business day. Support covers installation and activation issues, reproducible bugs in the Theme, and configuration guidance for sections, blocks, and settings.
Support does not cover custom development, code modifications, third-party app integrations, issues caused by Theme modifications you made, Shopify platform issues, or marketing/SEO/merchandising advice.
8. No warranty
The Theme is provided “as is” without warranty of any kind, express or implied. Tractionify disclaims all warranties, including without limitation warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Theme will be uninterrupted, error-free, or compatible with every Shopify configuration or third-party app.
Some jurisdictions do not allow the exclusion of implied warranties; in those jurisdictions the exclusions above apply only to the extent permitted by law.
9. Limitation of liability
To the maximum extent permitted by applicable law, Tractionify’s total aggregate liability under this Agreement — for any cause, in contract, tort, or otherwise — shall not exceed the amount you paid for your license in the twelve (12) months preceding the claim.
Tractionify shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of revenue, loss of data, or loss of goodwill, even if advised of the possibility of such damages.
Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitation may not apply to you.
10. Indemnification
You agree to indemnify and hold harmless Tractionify, its officers, employees, and contractors against any claim, loss, liability, or expense (including reasonable attorneys’ fees) arising out of your use of the Theme, your storefront content, or your breach of this Agreement.
11. Termination
This Agreement is effective until terminated. Termination occurs when your license is revoked under §5, or when you uninstall the Theme and notify us in writing that you have ceased all use.
On termination, all licenses granted under this Agreement immediately cease. Sections 2, 3, 8, 9, 10, and 14 survive termination.
12. Changes to this Agreement
Tractionify may revise this Agreement from time to time. Changes apply prospectively only — they do not retroactively affect licenses you purchased before the change. The current version is always available on this page; the “Last updated” date at the top of this document reflects the most recent change.
13. Governing law and disputes
This Agreement is governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Any dispute arising out of or related to this Agreement shall be brought exclusively in the courts of the State of Delaware, United States, and you consent to the personal jurisdiction of those courts.
14. Miscellaneous
- Entire agreement. This Agreement, together with the Refund Policy and Privacy Policy, constitutes the entire agreement between you and Tractionify with respect to the Theme.
- Severability. If any provision is held invalid, the remaining provisions remain in full force.
- No waiver. Tractionify’s failure to enforce any right is not a waiver of that right.
- Assignment. You may not assign this Agreement without our written consent. We may assign it without restriction.
